SUBJECT: Technical and clarifying changes to amended cable television transfer agreement approved July 11, 2000, and extension of deadline for transferor and transferee agreement.

 

Background

 

1.       On July 11, the County Council approved Resolution 14‑593, which conditionally approved the transfer of the Cable Television Montgomery franchise from Prime Communications‑Potomac, L.L.C. (Prime‑Potomac), to Comcast Cable of Maryland, Inc. (Comcast), an affiliate of Comcast Corporation of Philadelphia, Pennsylvania. This resolution incorporates by reference the Background of Resolution 14‑593.

2.       Resolution 14‑593 stated that:

          “If Prime‑Potomac and Comcast agree to all of the [Council’s conditions] by July 21, 2000, the County Council approves the transfer of the cable television franchise from Prime Communications—Potomac, L.L.C., to Comcast Cable of Maryland, Inc., under the attached amended transfer agreement and the franchise agreement, as amended by the transfer agreement. If Comcast or Prime-Potomac does not agree by that date, the transfer as proposed by the County Executive is disapproved without further action by the Council.”

3.       The Council understands that Comcast and Prime‑Potomac executed signature pages to the amended transfer agreement on July 21, 2000.

4.       After July 21, Comcast representatives asked the Council to consider modifying the amended transfer agreement attached to Resolution 14‑593 to incorporate certain technical and clarifying changes.

5.       The Council agrees that certain modifications are appropriate and would agree to substitute the attached modified amended transfer agreement for the amended transfer agreement originally attached to Resolution 14‑593 if Prime‑Potomac and Comcast accept the modified agreement as described below.

 

Action

 

The County Council for Montgomery County, Maryland, approves the following resolution:

 

1.       If Prime‑Potomac and Comcast agree to the attached modified amended transfer agreement by delivering the fully executed agreement to the County Council President before 5:00 p.m. on August 4, 2000, the Council amends its “action” under Resolution 14‑593 to:

 

a.       substitute the attached modified agreement for the amended transfer agreement originally attached to Resolution 14‑593;

 

b.       extend the deadline for Prime‑Potomac and Comcast to agree to Resolution 14‑593 from July 21 to August 4, 2000; and

 

c.       clarify that Prime‑Potomac and Comcast may agree to the requirements of Resolution 14‑593 only by executing the attached amended transfer agreement (as modified according to this Resolution).

 

2.       If the Council President does not receive the fully executed agreement by the deadline above, Resolution 14‑593 is not amended.
